Code of Conduct

Dealing with Employees, Suppliers, and Business Partners

This Code of Conduct serves as a guideline for business conduct and sets out TETEC’s principles and requirements for its employees, suppliers and business partners with regard to their responsibility towards people and the environment. The Code of Conduct may be supplemented or amended by other company policies.

As a manufacturer of medical devices, we are subject to numerous local, national and international regulations, provisions, laws and industry guidelines designed to protect patients, consumers and professional users. Failure to comply may result not only in reputational damage but also in significant sanctions for the company, its management or individual employees. Compliance with the provisions of this Code of Conduct is intended to help prevent legal violations and ensure that we conduct our business fairly and in accordance with the law.

In line with our corporate strategy, we are committed to lawful and socially responsible corporate governance. To this end, we comply with applicable laws and other legal requirements and conduct ourselves accordingly.

However, we regard compliance with applicable laws as a minimum requirement. For TETEC, compliance means not only acting in accordance with the law, but also embracing ethical values such as integrity, fairness and sustainability, which we uphold transparently both internally and externally.

To ensure compliance with these requirements, all TETEC employees are obliged to report any violation or potential violation of this Code of Conduct or the law to info@tetec.bio.

1. Conflicts of Interest

We ensure that personal interests do not conflict with the interests of the company. A conflict of interest arises when personal interests are at odds with those of the company. TETEC respects the private interests and activities of its employees, provided that they remain fully loyal to the company.

When fulfilling their professional duties, our employees are guided solely by the interests of the company and avoid activities that conflict with business interests or the fulfilment of these duties. They must therefore not misuse their position, company information or TETEC property for personal purposes or to provide inappropriate advantages to third parties.

To avoid risks arising from actual or perceived conflicts of interest, our employees disclose any actual or potential conflict of interest to their respective manager, who will determine how the conflict should be addressed.

2. Company Property

We handle TETEC’s property and assets responsibly. These include both tangible assets, such as buildings, machinery, equipment, vehicles and work equipment, and intangible assets, such as know-how, inventions, patents, trademarks, copyrights and other intellectual property rights.

All employees are required to treat these assets with care, protect them against loss, damage, misuse and unauthorized use, and use them exclusively for legitimate business purposes. Company resources may not be used for private purposes unless expressly permitted.

By protecting and responsibly using our property, we help safeguard TETEC’s performance, competitiveness and sustainable development.

3. Data Protection and Information Security

The responsible handling of information is an essential part of our business activities. We protect personal data, confidential company information and other information requiring protection against unauthorized access, loss, alteration or disclosure.

All employees are required to comply with applicable data protection regulations and internal information security requirements. Personal data may only be processed where appropriate authorization and a legitimate purpose exist. Confidential information must be protected against unauthorized access and may only be disclosed to persons authorized to receive it.

An appropriate level of security must also be maintained when using IT systems, emails, passwords, mobile devices and digital data. Any irregularities, data breaches or potential security incidents must be reported immediately to the responsible departments.

By handling data and information responsibly, we protect our employees, business partners and our company and strengthen trust in TETEC.

4. Respect for Human Rights and Diversity

We reaffirm our responsibility and commitment to respecting and promoting human rights. TETEC supports and respects the core labour standards of the International Labour Organization (ILO).

We regard diversity as an advantage. TETEC’s HR policy therefore provides equal opportunities for all employees. We value different perspectives, attitudes, experiences and backgrounds.

Our recruitment, employment and business decisions are never based on age, ethnic background, nationality, gender, gender identity, physical abilities, mental abilities, religion, belief, sexual orientation, social background or any other characteristic protected by law.

5. Environmental Protection

We regard sustainable business practices and the conservation of natural resources as a contribution to environmental protection for present and future generations. Compliance with all environmental requirements and respect for the environment require the careful use of nature’s limited resources in order to ensure sustainable business success. A commitment to environmental protection and the efficient use of energy is an integral part of world-class production for us.

6. Health and Safety

We provide safe workplaces and ensure a safe and healthy working environment. Our employees in management positions are aware of their responsibilities and demonstrate this by setting an example. They also ensure that our employees receive comprehensive training and instruction in occupational health and safety measures.

We regularly carry out risk assessments to identify potential workplace hazards and continuously improve workplace safety. Our certified occupational health and safety management systems safeguard our internal processes and ensure the implementation of our high standards. Compliance is monitored through regular internal and external audits.

7. Anti-Corruption

Corrupt business practices, such as bribery, embezzlement, fraud, theft and the granting or acceptance of improper advantages, are neither tolerated nor supported by TETEC in any form. We are committed to the highest standards in our business activities worldwide. We neither grant nor accept unlawful or unauthorized advantages. The healthcare industry is highly regulated, and misconduct can have far-reaching consequences. At TETEC, we therefore uphold integrity and fairness in all our business activities.

Every employee is obliged and responsible for refraining from any form of corrupt conduct. Employees must not offer, provide or authorize inappropriate advantages to any third party, nor may they accept such improper advantages themselves. This includes money, goods or services as well as any other unauthorized benefits. This obligation extends to all business activities, including those of our business partners and other parties acting on our behalf.

Requests from third parties for benefits or contributions will only be granted in accordance with legal requirements and internal regulations. No business opportunity, however advantageous, justifies a violation of the law.

8. Fair Competition and Trade

We achieve our business success through outstanding performance and fair and honest conduct in competition. TETEC is committed to fair conduct towards business partners, competitors, patients, authorities and employees.

TETEC supports free competition and meets the challenges it presents in a fair and open manner. We trust in the quality of our products and services and therefore strictly reject unfair and anti-competitive market practices, particularly coordinated conduct with business partners intended to restrict free competition.

9. Quality

TETEC maintains high quality standards and thereby makes a decisive contribution to compliance with regulatory requirements. This is a fundamental prerequisite for our business activities. Legal and regulatory requirements as well as internationally recognized standards, such as GMP (Good Manufacturing Practice), are consistently observed in order to meet the high expectations of our business partners regarding the quality, safety and efficacy of our products.

In this context, we also maintain a constructive and close dialogue with physicians, healthcare professionals, patients, governments and authorities.
